General Terms & Conditions

Please read the General Terms & Conditions of the Shougl platform (these “General Terms & Conditions”) carefully.

The works available on the Shougl website (shougl.com and app.shougl.com) (the “Website”) and the Shougl mobile applications (the “Application”) are protected by intellectual-property and copyright laws and are owned by Tanfeth Managed Services Co. Ltd., a single-person limited-liability company holding Commercial Registration / Unified National No. 7051941628, with its registered office in Riyadh (Al Ezdihar District), Kingdom of Saudi Arabia (“Shougl”, “we”, “us”, or “our”). Certain features of the Website may be subject to additional guidelines, terms, or rules posted on the Website, including additional terms relating to who you are and how you use the Website (the “Specific Terms”). All such Specific Terms, guidelines, and additional rules are incorporated by reference into these General Terms & Conditions.

These General Terms & Conditions govern your use of the Website or the Application and apply to all users who visit, access, or use the Website or Application in any manner, including the use of any services or materials made available via the Website or Application (each a “Service” and collectively the “Services”). The Website, the Application, the Services, and the information and content available thereon are collectively referred to as the “Shougl Properties”.

These General Terms & Conditions set out the legally binding terms that govern your use of the Shougl Properties. By clicking the “I Agree” button, completing registration, browsing the Website, downloading the Application, or entering a sales order or placing an order on the Website or Application (with respect to employers), you acknowledge that you (1) have read, understood, and agree to be bound by these General Terms & Conditions (and any applicable Specific Terms); (2) are of legal age to form a binding contract with Shougl; and (3) have the authority to enter into and bind yourself personally or on behalf of the employer you named to these Terms (collectively, the “Agreement”). “You” refers to the individual or legal entity, as applicable, identified as the user upon registration. If you do not agree to be bound by the General Terms & Conditions and the Privacy Policy, you may not access or use the Website, Application, or Services.

Please note that these Terms are supplemented by the Privacy Policy and the Specific Terms, as follows: (Employer Terms) if you are an entity or individual accessing and using the Services to post job listings for job seekers, the Employer Terms also govern your use of the Services and any sales order entered into between you and Shougl; (Job-Seeker Terms) if you access or use the Services to respond to job postings published by employers, the Job-Seeker Terms also govern your use of those Services. One or more of these may apply to you, in which case you agree to be bound by all applicable terms. In the event of a conflict between these General Terms & Conditions and the Specific Terms, the Specific Terms govern to the extent of such conflict. These General Terms & Conditions and any applicable Specific Terms are referred to as the “Terms.”

The Terms may be changed by Shougl at its sole discretion at any time. Any changes are effective immediately for users of the Website, Application, or Services. Shougl may require you to provide consent to the updated Terms in a specified manner before permitting further use. If you do not agree to a change after receiving notice of it, you must stop using the Website and/or Application and/or Services. Otherwise, your continued use constitutes your agreement to the change. Please review the Website regularly for the current Terms.

1. Services

Shougl provides services designed to connect job seekers with employers. Job seekers can also save certain personal and résumé information in a manner that facilitates sharing it with employers or recruiters. We do this by enabling job seekers to submit job applications to employers through job postings and by enabling employers to invite job seekers to apply for jobs.

2. Use of the Services and the Shougl Properties

The Shougl Properties are protected by intellectual-property and copyright laws. Subject to the Terms, Shougl grants you a limited license to reproduce portions of the Shougl Properties for the sole purpose of using the Services for your personal or internal business purposes. Unless Shougl states otherwise in a separate license, your right to use any of the Shougl Properties is subject to the Terms.

2.1 Application License

Subject to your compliance with the Terms, Shougl grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to download, install, and use a copy of the Application on a mobile device that you own or control, and to run such copy solely for your personal or internal business purposes. With respect to any Application accessed through the Apple App Store, you acknowledge that you (a) will use the Application only as permitted by the “Usage Rules” set out in the Apple App Store Terms of Service, and (b) will use the Apple-store Application only on an Apple-branded product running iOS. With respect to any Application accessed through Google Play, you may have additional license rights relating to use of the Application on a shared basis within your designated family group.

2.2 Updates

You understand that the Shougl Properties are evolving. As a result, the Shougl Application may require you to accept updates. You agree that Shougl may update the Shougl Properties with or without notice. You may need to update third-party software from time to time in order to use the Shougl Properties.

2.3 Additional Restrictions

The rights granted to you are subject to the following restrictions: (a) you shall not license, sell, rent, lease, transfer, assign, reproduce, distribute, host, or otherwise commercially exploit any portion of the Shougl Properties; (b) you shall not modify, frame, or use framing techniques on any trademark, logo, or other Shougl Property (including images, text, page layouts, or forms); (c) you may not modify, translate, adapt, merge, make derivative works of, disassemble, or reverse-engineer any portion, except to the extent the foregoing restrictions are expressly prohibited by applicable law; (d) you shall not use any manual or automated software, devices, or processes (including spiders, robots, scrapers, or crawlers) to “scrape” or download data from the Website or Application (except that we grant operators of public search engines a revocable permission to use spiders to create publicly available searchable indices, but not to archive such materials); (e) you shall not use the Shougl Properties to build a similar or competitive website, application, or service; and (f) you shall not remove or destroy any intellectual-property notices or proprietary markings. Shougl and its suppliers reserve all rights not expressly granted. Any unauthorized use may terminate the licenses granted.

2.4 Third-Party Materials

As part of accessing the Shougl Properties, you may have access to materials hosted by another party. You acknowledge and agree that it is impossible for Shougl to monitor such materials and that you access them at your own risk.

3. Registration

3.1 Registering Your Account

To access certain features of the Shougl Properties, you may be required to become a Registered User. For purposes of the Terms, a “Registered User” is a user who has registered an account on the Website or Application (the “Account”).

3.2 Registration Data

When you register an Account, you agree to (1) provide true, accurate, current, and complete information about yourself as prompted, and (2) maintain and promptly update the registration data to keep it accurate. You represent that you (1) are at least 18 years old; (2) are not a person barred from using the Shougl Properties under the laws of the Kingdom of Saudi Arabia or your place of residence; and (3) are of legal age to form a binding contract or are under the supervision of a parent or guardian who is. You are responsible for all activity on your Account, may not share your Account or password, and agree to notify Shougl immediately of any unauthorized use. If you provide information that is untrue or that Shougl has reasonable grounds to suspect is untrue, Shougl may suspend or terminate your Account and refuse any current or future use. You agree not to create an Account using false information or on behalf of someone other than yourself, and not to maintain more than one Account at any time. Shougl reserves the right to remove or reclaim any Account at any time and for any reason.

3.3 Necessary Equipment and Software

You must provide all equipment and software necessary to connect to the Shougl Properties. You are solely responsible for any fees you incur in accessing them, including Internet or mobile charges. By providing your mobile number and using the Services, you consent to our use of your number for calls and text messages to perform and improve the Services. Shougl will not charge for such calls or messages, but standard message or other charges from your carrier may apply.

4. Responsibility for Content

4.1 Types of Content

You acknowledge and agree that all files, materials, data, text, audio, video, images, job postings, or other content embedded in or available on the Shougl Properties (the “Content”) are the sole responsibility of the party from whom they originate. This means that you — not Shougl — are fully responsible for all Content you upload, post, email, transmit, or otherwise make available through the Shougl Properties (“Your Content”), and that you and other users — not Shougl — are similarly responsible for all Content you make available (“User Content”).

4.2 No Obligation to Pre-Screen

You acknowledge and agree that Shougl is not obligated to pre-screen Content (including User Content), although Shougl reserves the right, in its sole discretion, to pre-screen, refuse, or remove any Content. By entering into the Terms, you provide your irrevocable consent to such monitoring. You acknowledge that you have no expectation of privacy concerning the transmission of Your Content, including chat, text messages, voice, or video communications. If Shougl pre-screens, refuses, or removes any Content, it does so for the benefit of Shougl or the online community it serves, and not for your benefit. Without limiting the foregoing, Shougl has the right to remove any Content that violates the Terms.

4.3 Storage

Unless expressly agreed by Shougl in writing elsewhere, Shougl is under no obligation to store any of Your Content. Shougl assumes no responsibility or liability for the deletion or accuracy of any Content; the failure to store, transmit, or receive Content; or the security, privacy, storage, or transmission of other communications arising from or involving use of the Shougl Properties. Some Services may enable you to specify the level at which such Services restrict access to Your Content; you are solely responsible for applying the appropriate level of access. If you do not make a selection, the system may default to the most permissive setting. You agree that Shougl reserves the right to place reasonable limits on Shougl’s use and storage of Content, including Your Content, such as limits on file size, storage space, and processing capacity.

5. Ownership

5.1 Company Property

Except for Your Content and User Content, you agree that Shougl and its suppliers own all right, title, and interest in the Shougl Properties. You shall not remove, alter, or obscure any copyright, trademark, service mark, or other proprietary notices incorporated in or accompanying the Shougl Properties.

5.2 Trademarks

“Shougl”, “Shougl Website”, “Shougl Application”, and other related marks, logos, service marks, and trade names are trademarks of Shougl and may not be used without permission in connection with any third-party products or services. Other trademarks, service marks, and trade names that may appear are the property of their respective owners.

5.3 Other Content

Except for Your Content, you agree that you have no right or title in or to any Content that appears in the Shougl Properties.

5.4 Your Content

Shougl does not claim ownership of Your Content. However, when you upload or post Your Content, you grant Shougl an irrevocable, worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display Your Content, in whole or in part, throughout the world, and to incorporate it into other works in any form, media, or technology now known or later developed.

5.5 License to Your Content

Subject to any applicable account settings you select, you grant Shougl a fully paid, royalty-free, perpetual, irrevocable, worldwide, non-exclusive, fully sublicensable right and license to use, distribute, reproduce, modify, adapt, publicly perform, and publicly display Your Content (in whole or in part) for the purposes of operating and providing the Shougl Properties to you and to our other users. You represent that the owner of any worldwide intellectual-property rights in Your Content has effectively waived all such rights and validly granted you the right to grant the above license. You agree that you, and not Shougl, are responsible for all of Your Content that you make available on the Shougl Properties.

5.6 Investigations

Shougl may, but is not obligated to, monitor or review the Shougl Properties and Content at any time. Without limiting the foregoing, Shougl has the right, in its sole discretion, to remove any of Your Content for any reason (or no reason), including if it violates the Terms or any applicable law. Although Shougl does not generally monitor user activity, if Shougl becomes aware of any possible violations by you of any Term, Shougl reserves the right to investigate, and may, in its sole discretion, immediately terminate your license to use the Shougl Properties, or change, alter, or remove Your Content, in whole or in part, without prior notice to you.

5.7 Your Profile

No Content you post in your profile may contain nudity, violence, sexual content, or offensive subject matter. You may not post a picture of another person without that person’s permission.

5.8 Feedback

You agree that submission of any ideas, suggestions, documents, feedback, or comments to Shougl (“Feedback”) is at your own risk and that Shougl has no obligations (including confidentiality obligations) with respect to such Feedback. You represent that you have all rights necessary to submit the Feedback. You hereby grant Shougl a fully paid, royalty-free, perpetual, irrevocable, worldwide, non-exclusive, fully sublicensable right and license to use, reproduce, perform, display, distribute, adapt, modify, reformat, create derivative works of, and otherwise commercially or non-commercially exploit any and all Feedback, and to sublicense the foregoing rights, in connection with the operation and maintenance of the Shougl Properties.

6. User Conduct

As a condition of your use of the Shougl Properties, you agree not to use them for any purpose prohibited by the Terms. You shall not (and shall not permit any third party to) either (a) take any action or (b) make available any Content that: (1) infringes any patent, trademark, trade secret, copyright, right of publicity, or other right of any person or entity; (2) is unlawful, threatening, abusive, harassing, defamatory, deceptive, fraudulent, invasive of another’s privacy, harmful, vulgar, or obscene; (3) constitutes unauthorized or unsolicited advertising, junk, or bulk email; (4) involves commercial activities and/or sales without Shougl’s prior written consent; (5) impersonates any person or entity, including any Shougl employee or representative; (6) interferes with or attempts to interfere with the proper functioning of the Shougl Properties or uses them in a manner not expressly permitted; or (7) attempts to engage in any potentially harmful acts directed against the Shougl Properties, including violating any security features, scraping, crawling, introducing viruses or malicious code, or overloading, flooding, spamming, or crashing the Shougl Properties.

7. Removal of Content

7.1 General

Shougl reserves the right to refuse to post or to remove any Content. Notwithstanding the foregoing, you acknowledge that Shougl is not obligated to edit or modify any Content or to adjudicate any dispute, and shall have no liability to you for any Content. Shougl is not responsible for any Content or any claims of economic loss resulting from Content. Shougl may remove any Content if it determines, in its sole discretion, that the submitted Content is: false, unlawful, misleading, defamatory, obscene, pornographic, indecent, harassing, threatening, fraudulent, or otherwise objectionable; manifestly offensive to the online community (such as promoting racism, bigotry, hatred, or physical, emotional, or sexual harm against any group or individual); requests personal information from anyone under 18; violates another’s privacy or impersonates any person or entity; encourages illegal activity or violates the regulations of the Saudi Capital Market Authority or the Saudi Stock Exchange (Tadawul); provides instructional information about illegal activities; may infringe intellectual-property rights; constitutes bulk email, spam, chain letters, or pyramid schemes; contains private information of any third party (including addresses, phone numbers, national-ID numbers, and credit-card numbers); contains or facilitates viruses or corrupted files; contains misleading, unreadable, or hidden keywords or unaffiliated company marks; in the case of job postings, contains more than one position or job description; or is otherwise unacceptable, restricts others’ enjoyment of the Services, or may expose Shougl or its users to harm or liability.

7.2 Job-Posting Content

Shougl may remove any job-posting Content if it determines, in its sole discretion, that the job-posting Content violates the Terms, contains unlawful discrimination or misleading information about the position or employer, requests fees from job seekers, includes more than one position, or otherwise contravenes applicable employment regulations in the Kingdom of Saudi Arabia.

7.3 Reporting

We may report any activity that we suspect violates any law or regulation to appropriate law-enforcement officials, regulators, or other appropriate third parties. Our reports may include disclosing user information. We may also cooperate with appropriate law-enforcement agencies, regulators, or other third parties to help investigate and prosecute unlawful conduct by providing network and systems information related to alleged violations of the Terms.

8. Interactions with Other Users

8.1 User Responsibility

You are solely responsible for your interactions with other users and any other parties with whom you interact. Shougl reserves the right, but has no obligation, to mediate such disputes. You agree that Shougl will not be liable for any liability incurred as a result of such interactions.

8.2 Content Provided by Other Users

The Shougl Properties may contain User Content provided by other users. Shougl is not responsible for and does not control User Content. Shougl has no obligation to review or monitor, and does not approve, endorse, or make any representations or warranties with respect to, User Content. You use all User Content and interact with other users at your own risk.

8.3 No Authentication of Users

You understand and agree that Shougl does not, and cannot, confirm that each user is who they claim to be. We are not responsible for authenticating users, and it is your responsibility to conduct appropriate due diligence before communicating or interacting with other users, including employers and job seekers. You assume all risks associated with the users you communicate with. If you have any disputes or issues with any user, you agree to pursue any remedies directly with that user, and you release Shougl, its affiliates, employees, directors, and agents from all claims, demands, and damages of every kind, to the fullest extent permitted by law.

9. Third-Party Services, Portals, and Other Sites

9.1 Third-Party Services

The Shougl Properties may contain links to third-party websites, applications, advertisements, and services (collectively, “Third-Party Services”). When you access a Third-Party Service, we may not warn you that you have left the Shougl Properties and are subject to the terms and conditions (including privacy policies) of another party. Such Third-Party Services are not under Shougl’s control, and Shougl is not responsible for any of them. Shougl provides these links only as a convenience and does not review, approve, monitor, endorse, warrant, or make any representations with respect to Third-Party Services, including the quality or accuracy of products or services offered through them. You access all Third-Party Services at your own risk. When you leave our Website, Application, or Services, our terms and policies no longer apply, and you should review the applicable terms and policies of any Third-Party Service provider.

9.2 Third-Party Portals

The Shougl Properties may be made available to you through third-party websites (“Third-Party Portals”). Such Third-Party Portals are not under Shougl’s control, and Shougl is not responsible for any external portals.

10. Messaging and Notices

10.1 SMS and Chat Services

If you provide your mobile number at registration or in your account information, you agree that Shougl, our affiliates, and our representatives may contact you at that number using text messages or chat services (such as WhatsApp) for the purposes of: (1) servicing your account or customer service, (2) investigating or preventing fraud, or (3) debt collection. Shougl may also, from time to time, provide one-time and subscription text-messaging services for marketing purposes. The foregoing are collectively referred to as the “SMS Services.”

10.2 Carrier Charges

We do not charge for our SMS Services; however, your carrier’s standard data and message rates will apply. By consenting to participate in the SMS Service, you agree to any such carrier charges. You represent that you are 18 years of age or older and that you are the owner or authorized user of the mobile device associated with the number you designate, and that you are authorized to approve the applicable carrier charges.

10.3 Privacy

Data obtained from you in connection with the SMS Services may include your name, address, mobile number, your carrier’s name, and the date, time, and content of your messages. Our use of this information will be consistent with our Privacy Policy. Your carrier and other service providers may also collect data about your mobile-device usage, and their practices are governed by their own policies.

10.4 Disclaimer

You acknowledge and agree that the SMS Services are provided via wireless systems that use radios or the Internet (and other means) to transmit communications over complex networks. We are not liable for any delays in your receipt of any text messages, as delivery is subject to effective transmission by your network operator. The SMS Services are provided on an “as is” basis. We do not guarantee that your use will be private or secure, and we are not liable to you for any lack of privacy or security you may experience. You are fully responsible for taking precautions and providing the security measures best suited to your situation and intended use of the SMS Services.

11. Indemnification

You agree to indemnify and hold harmless Shougl, its original partners, affiliates, officers, employees, agents, partners, and licensors (collectively, the “Shougl Parties”) from any losses, costs, liabilities, and expenses (including reasonable attorneys’ fees) relating to or arising out of: (a) Your Content; (b) your use of or inability to use the Shougl Properties; (c) your violation of the Terms; (d) your violation of any rights of another party, including any users; or (e) your violation of any applicable laws, rules, or regulations. Shougl reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you will fully cooperate with Shougl in asserting any available defenses. This section does not require you to indemnify any Shougl Party for any unreasonable commercial practice or fraud by that party. You agree that the provisions of this section survive any termination of your Account, the Terms, or your access to the Shougl Properties.

12. Disclaimer of Warranties and Conditions

12.1 As Is

You expressly understand and agree that, to the extent permitted by applicable law, your use of the Shougl Properties is at your sole risk, and the Shougl Properties are provided on an “as is” and “as available” basis, with all faults. The Shougl Parties expressly disclaim all warranties, representations, and conditions of any kind, whether express or implied. The Shougl Parties make no warranty, representation, or condition that: (1) the Shougl Properties will meet your requirements; (2) your use will be uninterrupted, timely, secure, or error-free; (3) the results obtained will be accurate or reliable; or (4) your use will be private or secure. Any Content downloaded or otherwise accessed through the Shougl Properties is accessed at your own risk, and Shougl makes no representation or warranty regarding the accuracy, legality, truthfulness, or completeness of any Content. You understand that you may be exposed to User Content that is inaccurate, incomplete, unlawful, misleading, or otherwise objectionable, and you agree that it is your responsibility to evaluate the quality, accuracy, and reliability of User Content, including résumés/profiles, job postings, and message content. Your reliance on any User Content is at your own risk. You will be solely responsible for any damage to your property, including your computer system, or any other loss resulting from accessing such Content. The Services may be subject to delays, cancellations, and other disruptions.

12.2 No Liability for Third-Party Conduct

You acknowledge and agree that the Shougl Parties are not responsible, and you agree not to seek to hold the Shougl Parties responsible, for the conduct of third parties, including operators of external sites, and that the risk of injury from such third parties rests entirely with you.

12.3 No Liability for Other Users’ Conduct

You are solely responsible for all of your communications and interactions with other users of the Shougl Properties. You understand that Shougl makes no attempt to verify the statements of users of the Shougl Properties.

13. Limitation of Liability

13.1 Disclaimer of Certain Damages

You understand and agree that in no event shall Shougl be liable for any loss of profits, revenue, or data, or for any indirect, incidental, special, or consequential damages arising out of or in connection with the Shougl Properties, or any damages or costs due to loss of production or use, business interruption, or procurement of substitute goods or services, whether or not Shougl has been advised of the possibility of such damages, arising out of or in connection with the Terms, or from any communications, interactions, or meetings with other users of the Shougl Properties, resulting from: (1) the use or inability to use the Shougl Properties; (2) the cost of procurement of substitute goods or services; (3) unauthorized access to or alteration of your communications or data; (4) the statements or conduct of any third party regarding the Shougl Properties; or (5) any other matter relating to the Shougl Properties, whether based on warranty, copyright, contract, tort (including negligence), product liability, or any other legal theory.

13.2 Maximum Liability

Under no circumstances shall Shougl be liable to you for more than the greater of (a) SAR 50.00 and (b) the minimum amount of liability set out in the applicable Specific Term, if any.

13.3 User Content

Except for Shougl’s obligations to protect your Personal Data as set out in the Privacy Policy, Shougl assumes no liability for the timeliness, deletion, mis-delivery, or failure to store any Content (including, without limitation, Your Content and User Content), user communications, or personalization settings.

13.4 Basis of the Bargain

The limitations of damages set forth above are fundamental elements of the basis of the bargain between you and Shougl.

14. Intellectual-Property / Copyright Infringement Claims

It is Shougl’s policy to terminate the membership privileges of any user who repeatedly infringes intellectual-property or copyright rights upon prompt notification to Shougl by the rights owner or the owner’s legal agent. If you believe that your work has been copied and posted on the Shougl Properties in a way that constitutes infringement, please provide our agent with the following: (1) an electronic or physical signature of the person authorized to act on behalf of the rights owner; (2) a description of the protected work you claim has been infringed; (3) a description of the location on the Website of the material you claim is infringing; (4) your address, telephone number, and email address; (5) a written statement that you have a good-faith belief that the disputed use is not authorized; and (6) a statement, under penalty of perjury, that the above information is accurate and that you are the rights owner or authorized to act on the owner’s behalf. 15. Remedies

15.1 Violations

If Shougl becomes aware of any possible violations by you of the Terms, Shougl reserves the right to investigate. If, as a result, Shougl believes that criminal activity has occurred, Shougl reserves the right to refer the matter to, and cooperate with, applicable legal authorities. Shougl is entitled, except to the extent prohibited by applicable law, to disclose any information in its possession in connection with your use of the Shougl Properties in order to: (1) comply with applicable law, legal process, or a governmental request; (2) enforce the Terms; (3) respond to claims that Your Content violates third-party rights; (4) respond to your customer-service requests; or (5) protect the rights, property, or personal safety of Shougl, its users, or the public.

15.2 Breaches

If Shougl determines, in its sole discretion, that you have breached any portion of the Terms or have otherwise demonstrated conduct inappropriate for the Shougl Properties, Shougl reserves the right to: (a) warn you via email or SMS that you have violated the Terms; (b) discontinue your registration(s) with any of the Shougl Properties; (c) discontinue your subscription to any Services; (d) notify and/or send Content to and/or fully cooperate with appropriate law-enforcement authorities for further action; and/or (e) pursue any other action Shougl deems appropriate.

16. Term and Termination

16.1 Term

The Terms constitute a legally binding agreement that begins on the date you accept the Terms and remains in effect while you use the Shougl Properties, unless terminated earlier in accordance with the Terms.

16.2 Prior Use

Notwithstanding the foregoing, if you used the Shougl Properties before the date you accepted the Terms, you acknowledge and agree that the Terms became binding on the date you first used the Shougl Properties (whichever is earlier) and remain in full force and effect while you use the Shougl Properties, unless terminated earlier in accordance with the Terms.

16.3 Termination by Shougl

If Shougl believes that you have materially violated any of the Terms, or if Shougl is required to do so by law (for example, where providing the Website, Application, software, or Services is or becomes unlawful), or if Shougl believes it is necessary to protect Shougl’s property or other users, Shougl has the right, immediately and without notice, to suspend or terminate any Services provided to you. You agree that all terminations for cause are made in Shougl’s sole discretion and that Shougl will not be liable to you or any third party for any termination of your Account.

16.4 Termination by You

If you wish to terminate the Services provided by Shougl, you may do so by (a) notifying Shougl at any time and (b) closing your Account for all Services you use. Your notice should be sent in writing to support@shougl.com. Note that if you are an employer, you are subject to additional terms relating to the termination of sales orders set out in the Shougl Employer Terms.

16.5 Effect of Termination

Termination of any Service includes removal of access to that Service and barring further use. Termination of all Services also includes deletion of your password and all related information, files, and Content associated with or inside your Account (or any part thereof), including Your Content. Upon termination, your right to use the Service ceases immediately. You understand that any termination may involve deletion of Your Content from our live databases. Shougl will have no liability of any kind to you for any suspension or termination, including the deletion of Your Content. All provisions of the Terms that by their nature should survive will survive termination of the Services, including, without limitation, ownership provisions, warranty disclaimers, and limitations of liability.

16.6 No Subsequent Registration

If your registration(s) with, or ability to access, the Shougl Properties is discontinued due to your violation of any portion of the Terms or due to conduct inappropriate for Shougl users, you agree that you will not attempt to re-register with or access the Shougl Properties or any Shougl Service through use of a different name or otherwise. If you directly violate the preceding sentence, Shougl reserves the right, in its sole discretion, to immediately take any or all of the actions set forth herein without any notice or warning to you.

17. International Users

The Shougl Properties can be accessed from countries around the world and may contain references to services and content not available in your country. These references do not imply that Shougl intends to advertise such services or content in your country. The Shougl Properties are controlled and offered by Shougl from its facilities in the Kingdom of Saudi Arabia. Shougl makes no representation that the Shougl Properties are appropriate or available for use in other locations. Those who access or use the Shougl Properties from other countries do so at their own volition and are responsible for compliance with local law.

18. General Provisions

18.1 Electronic Communications

Communications between you and Shougl use electronic means, whether you visit the Shougl Properties or send messages, or whether Shougl posts notices on the Shougl Properties or communicates with you via email or text. For contractual purposes, you (1) consent to receive communications from Shougl in electronic form; and (2) agree that all terms, conditions, agreements, notices, disclosures, and other communications that Shougl provides to you electronically satisfy any legal requirement that such communications would satisfy if in writing. The foregoing does not affect your statutory rights.

18.2 Release

You hereby release the Shougl Parties and their successors from claims and any and all losses, damages, rights, and actions of any kind, including personal injuries, death, and property damage, that relate directly or indirectly to or arise out of your use of the Shougl Properties, including, without limitation, any interactions with or conduct of other users or third-party websites of any kind arising in connection with or as a result of the Terms or your use of the Shougl Properties. The foregoing release does not apply to claims, demands, or any losses, damages, rights, or actions arising from any unreasonable commercial practice by Shougl or that party’s fraud, deceit, misrepresentation, or concealment of any material fact in connection with the Website.

18.3 Assignment

You may not assign, subcontract, delegate, or otherwise transfer the Terms or your rights and obligations hereunder without Shougl’s prior written consent, and any attempted assignment, subcontract, delegation, or transfer in violation of the foregoing will be null and void.

18.4 Force Majeure

Shougl will not be liable for any delay or failure to perform resulting from causes outside its reasonable control, including, without limitation, acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, epidemics, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.

If you have any questions, complaints, or claims with respect to the Shougl Properties, please contact us at support@shougl.com. We will do our best to address them. If you feel that your concerns have not been fully addressed, we invite you to let us know for further investigation.

18.6 Governing Law

These Terms & Conditions are governed by and construed in accordance with the laws of the Kingdom of Saudi Arabia.

18.7 Dispute Resolution

Any dispute arising out of or in connection with these Terms shall be settled by binding arbitration in accordance with the Arbitration Rules of the Saudi Center for Commercial Arbitration. The arbitration shall be conducted in Arabic and held in Riyadh, Kingdom of Saudi Arabia.

18.8 Notice

You are responsible for providing your most current phone number and email address in your profile and on the Website and Application. If the last phone number or email address you provided to Shougl is invalid, or for any reason is incapable of delivering any required or permitted notices under the Terms, Shougl’s dispatch of a notice to that phone number or email will nonetheless constitute effective notice. You may give notice to Shougl by email at: support@shougl.com.

18.9 Waiver

Any waiver of, or failure to enforce, any provision of the Terms on one occasion will not be deemed a waiver of any other provision or of such provision on any other occasion.

18.10 Severability

If any portion of the Terms is held invalid or unenforceable, that portion will be construed in a manner that reflects, as nearly as possible, the original intent of the parties, and the remaining portions will remain in full force and effect.

18.11 Entire Agreement

The Terms constitute the final, complete, and exclusive agreement of the parties with respect to the subject matter hereof and supersede and merge all prior discussions between the parties with respect to such subject matter.

Employer Terms

Shougl — part of the Terms & Conditions

Please read Shougl’s Employer Terms (the “Employer Terms”) carefully as part of Shougl’s General Terms & Conditions.

These Employer Terms apply to all employers who use the Website or Services to post or submit job listings for review by job seekers (the “Job Seekers”), or who use any other services designed for employers. These Employer Terms also govern any subscription (as defined below) agreed between you, the employer, and Shougl.

The following terms govern your use of the Website as an employer or in connection with the employer services. They are legally binding, are incorporated into the General Terms & Conditions, and apply together with all subscriptions, including online orders and other documents incorporating the Employer Terms entered into between Shougl and you, the employer (the “Subscriptions”). If the employer and Shougl execute a Master Services Agreement or similar document that does not include these Employer Terms (an “MSA”), these Employer Terms will not apply to that Subscription, and any provision of them inconsistent with the MSA will be invalid.

In the event of a conflict, the Employer Terms prevail over the General Terms & Conditions to the extent of the conflict, and the terms of a Subscription prevail over the Employer Terms to the extent of the conflict. We reserve the right, at our sole discretion, to change the Employer Terms in the future.

The employer acknowledges and agrees to the Employer Terms and the General Terms & Conditions each time it uses the employer services.

1. Employer Services

1.1 Nature of the Services

Shougl grants employers access to the Website to post job listings (the “Job Listings”) and to use applicant tracking, setup, and other related services (collectively, the “Employer Services”). The Shougl Website helps connect Job Seekers with Job Listings through its matching technologies. With respect to Job Seekers and the Employer Services, Shougl does not perform any screening, background checks, independent verification, or training. The services provided by Job Seekers hired by employers are not part of the Employer Services.

1.2 Subscription Packages and Products

In accordance with the agreement between Shougl and the employer, Shougl provides the Services to the employer, and the employer receives the packages listed as Employer Services and pays for them in each Subscription consistent with the specified subscription package(s) listed in the Subscription (the “Subscription Packages”). The Shougl Properties may also offer additional paid products (the “Products”), such as contact-reveal credits.

1.3 Types of Subscription Packages and Products

To meet diverse company requirements, Shougl offers a range of Subscription Packages and Products that vary in features, limits, and cost depending on several variables, including the number of job postings, applications, and users per account; the number of contact details revealed to a Job Seeker (“Contact Reveal”) may also be taken into account. Please visit our website for full details of our Subscription Packages.

1.4 Third-Party Products and Services

In exchange for a Subscription, Shougl may make third-party goods and/or services available to integrate with the Services (collectively, “Third-Party Offerings”). The employer acknowledges that Shougl does not supply, supervise, or assume any responsibility for Third-Party Offerings. Shougl advises employers to review the privacy policies and legal notices provided by each such vendor. The employer’s use of any Third-Party Offering is conditioned on compliance with the terms set by that vendor. The employer accesses and/or uses all Third-Party Offerings at its own risk. Shougl provides Third-Party Offerings solely as a convenience and does not evaluate, approve, monitor, endorse, warrant, or make any representations regarding them.

1.5 Modifications

During the term of the applicable Subscription Package or Product, Shougl reserves the right to make changes to the Employer Services so long as such changes do not materially impair the operation of the Employer Services.

2. Payments

2.1 Pricing Structure

As set out on our website, the price of Shougl’s Services is determined by reference to the selected Subscription Package and its associated features or the Product. Recurring fees may be part of a Subscription Package at regular intervals (for example, monthly and annually).

2.2 Payment Terms

2.2.1 Payment Options

The Shougl Website accepts several payment options, such as bank transfers, major credit cards, and other payment channels. The employer agrees to provide Shougl with correct and current payment information, and that Shougl will invoice the employer for the chosen Subscription Package or Product accordingly.

2.2.2 Recurring Billing

The employer authorizes Shougl to automatically charge the employer’s preferred payment method at the beginning of each billing cycle until the employer cancels the Subscription or Product through the package or product settings on the Website or Application.

2.2.3 Payment Failure

Shougl may suspend access to the employer’s account and its functions until payment is properly completed (including where invoices are paid later than the agreed due date) if Shougl is unable to charge the employer’s payment due to expiry, insufficient funds, or other reasons. Costs related to payment failure, such as bank charges and late-payment fees, are the employer’s responsibility.

2.3 Refund Policy

The Shougl Website does not provide refunds of Subscription fees or Product fees. This covers situations where Job Seekers are below expectations or where there are no qualified candidates.

2.4 Cancellation Policy

Through the employer-account settings or by contacting Shougl customer service, the employer may terminate the Subscription Package or Product at any time. Cancellation takes effect at the end of the current payment cycle for the Subscription Package or Product. No cancellation costs apply.

2.5 Subscription or Product Changes

Shougl may provide options to change, upgrade, or downgrade the employer’s Subscription Package or Product. If the employer decides to modify its package or product, the billing cycle may need to change in accordance with the new price and terms, which take effect immediately.

2.6 Pricing Changes

Shougl reserves the right to modify its price schedule at any time. If prices change, Shougl will notify customers by email or through the Services with reasonable notice. The employer agrees to the updated prices by continuing to use the Services after such changes.

3. Term and Termination of Subscriptions

3.1 Termination by the Employer

If Shougl ceases to carry on its business, makes a general assignment for the benefit of creditors, or enters into voluntary or involuntary bankruptcy or insolvency proceedings, or as specified in the Subscription or Product, the employer may terminate the Subscription or Product with respect to one or more of the Services before the applicable scheduled termination date.

3.2 Termination by Shougl

If the employer breaches any provision of the Agreement, ceases to carry on business, makes a general assignment for the benefit of creditors, or enters into voluntary or involuntary bankruptcy or insolvency proceedings, Shougl may terminate the Subscription or Product with respect to one or more Employer Services before the applicable scheduled termination date(s). Alternatively, Shougl may provide the employer with 30 days’ written notice of termination.

3.3 Effects of Termination

The licenses granted to the employer under the Agreement terminate automatically and immediately upon expiry or early termination of the Subscription or Product: (1) the employer will no longer be able to access or use the Website and Application (collectively, the “Shougl Properties”) in connection with the applicable Employer Services; (2) the employer will pay Shougl all fees and other amounts due for Employer Services provided on or before the date of expiry or termination, as well as all fees due for the remaining portion of the initial term or current renewal term; and (3) Shougl will have no obligation to provide the applicable Employer Services (or any related services).

3.4 Employer Materials

The employer data then accessible in Shougl’s systems (the “Employer Materials”), and any employer job postings the employer submitted to Shougl, will be provided to the employer electronically upon written request within 30 days of termination, unless the Subscription is terminated due to the employer’s failure to pay fees due to Shougl. The employer agrees to pay additional fees if it requests a non-electronic copy of the Employer Materials. Shougl is not obligated to retain or provide any Employer Materials after 30 days from termination or expiry. Unless required by law, Shougl may thereafter remove any Employer Materials from its system and any other location in its possession.

4. Shougl’s Obligations

4.1 Performance

The Employer Services will be performed primarily in accordance with any applicable written specifications issued by Shougl, and substantially in accordance with any product or service descriptions contained in the relevant statement(s) of work or the applicable Subscription.

4.2 Support

Support services will be provided in accordance with any service-level agreements specified in the relevant statement(s) of work or the applicable Subscription, using commercially reasonable efforts.

5. Employer’s Obligations

5.1 Compliance with Applicable Laws

The employer must comply with all applicable local and international laws and regulations regarding employment, data protection, privacy, and other matters, including but not limited to:

5.1.1

Job-application questions and other materials — such as the Employer Materials — included in or used in connection with the Job Listings submitted by or on behalf of the employer through the Employer Services;

5.1.3

Other hiring practices used by the employer, such as the use of answers to job-application questions, or obtaining, screening, or evaluating the Employer Services provided.

5.2 Anti-Discrimination

Employers may not violate any local, international, or other relevant laws or regulations to discriminate against applicants or current employees using the Employer Services, including the results of any purchase, screening, or evaluation.

6. Representations and Warranties

The employer and Shougl each represent and warrant to the other that: (1) they are entities duly organized and in good standing under the laws of the jurisdiction in which they were formed; (2) they have all necessary authority to own their property and carry on their business as now conducted, and to enter into this Agreement and perform its duties, and that all such acts have received the required corporate approvals; (3) no governmental authorization, notice, or filing with a third party is required for this Agreement to be valid or enforceable; (4) this Agreement is a legally binding, valid, and enforceable agreement in accordance with its terms; (5) there is no pending or threatened court or administrative proceeding reasonably expected to affect the validity or enforceability of this Agreement; and (6) they are not party to any contract that would prevent them from entering into this Agreement or performing their obligations under it.

7. Additional Disclaimer of Warranties

7.1 As Is

All other representations and warranties, whether express, implied, or imposed by law, including any warranties of merchantability or fitness for a particular purpose, are expressly disclaimed. The representations and warranties made by Shougl in this Agreement supersede all other representations and warranties. Shougl disclaims all representations and warranties, including as to the availability, security, and error-free operation of the Shougl Properties, and the possibility of achieving particular results from their use.

7.2 Job-Seeker Warranty

With respect to any Job Seeker — including the accuracy or completeness of their application materials or profile, their suitability for any position, or their ability to provide services to the employer once hired — Shougl makes no representations or warranties of any kind. With respect to Third-Party Offerings, Shougl makes no warranties and is not the supplier of such offerings.

8. Ownership

Any Employer Materials remain the property of the employer, as between the employer and Shougl. The employer grants Shougl an irrevocable, royalty-free, non-exclusive license to use, copy, display, and distribute the Employer Materials for the purposes of administering, maintaining, and improving the Employer Services and posting jobs, including posting them via social-media platforms. In addition, Shougl may use the Employer Materials for research and development after anonymizing all employer information and personally identifiable information.

9. Indemnification

In the event a third party alleges that (1) any of the customer materials infringe any patent, copyright, trademark, service mark, trade secret, or other intellectual-property right of a third party; or (2) the employer’s job application — including any questions relating to criminal convictions, or any purchasing, screening, testing, evaluation, hiring, or termination policies or practices, or improper use of the Shougl Properties — violates any applicable employment, data-protection, or privacy law or other law or regulation, the employer agrees to indemnify, defend, and hold harmless Shougl and its licensors.

10. Limitation of Liability

In using the Employer Services, Shougl disclaims liability for any losses, including direct, indirect, incidental, consequential, special, or punitive damages. This covers, among other things, losses resulting from (1) miscommunication between employers and Job Seekers; (2) the inability to identify qualified candidates; (3) errors or omissions in applicant profiles or job postings; or (4) malfunctions or disruptions in the Employer Services.

11. Miscellaneous

11.1 Survival

Sections 2, 3, 9, and 10 of this Agreement survive its termination or expiry, in addition to any other rights and obligations that by their nature should continue thereafter.

11.2 Entire Agreement

The entire understanding and agreement between the employer and Shougl is contained in the General Terms & Conditions, the Employer Terms, and any Subscription, and may not be changed without a written agreement signed by both parties. No terms in any purchase order, business form, vendor-registration site, or similar form used by the employer, or any pre-printed terms not separately negotiated and agreed in writing, may modify the Employer Terms or the Subscription.

11.3 License of Employer Marks

To identify the employer as a customer of Shougl on its website or customer list and in a press release approved by both parties, the employer grants Shougl a limited, non-exclusive, non-transferable, royalty-free right and license to use the employer’s trade name and logo (the “Employer Marks”) during the term. When using the Employer Marks, Shougl will comply with the employer’s trademark-usage policies and will not use them in any way that diminishes their value. Any goodwill arising from such use inures exclusively to the employer.

11.4 Communications

All correspondence relating to this Agreement, including required or permitted notices and disclosures, will be sent by email or SMS, and notice is deemed given upon dispatch (1) to the employer at the email address or phone number provided in the most recent Subscription or in any subsequent written instructions from the employer to Shougl, and (2) to Shougl at support@shougl.com.

11.5 Assignment

Shougl may assign its rights and obligations under this Agreement, in whole or in part, (1) to any Shougl affiliate; (2) in connection with the sale of a business unit or product line or any other divestiture, sale, or disposition of assets; or (3) in connection with any merger, share purchase, or other acquisition. Neither party may assign any Subscription, in whole or in part, and any attempted assignment inconsistent with this is null and void and of no legal effect.

11.6 Governing Law

Saudi law governs and applies to the interpretation of these terms and conditions.

11.7 Waiver

No one-time waiver of, or failure to enforce, any provision of the Agreement will be construed as a waiver of that or any other provision at any other time.

11.8 Severability

The remaining provisions of this Agreement remain in full force and effect if any part is found to be invalid or unenforceable, and the invalid or unenforceable part will be construed to reflect the original intent of the parties as closely as possible.

11.9 Integration

These terms supersede and merge all prior discussions between the parties regarding the subject matter and are, as part of the General Terms & Conditions, the final, complete, and exclusive agreement between them.

When using the Shougl website, Services, or Application to respond to job postings offered by employers for full-time, part-time, or flexible work, users (referred to as “Job Seekers”) must comply with these Job-Seeker Terms.

These Job-Seeker Terms set out the legally binding terms and conditions that govern your use of the Website and mobile applications as a Job Seeker, and are incorporated into the General Terms & Conditions. In the event of a conflict, the Job-Seeker Terms prevail over the General Terms & Conditions to the extent of the conflict. We may change these terms at our sole discretion on an ongoing basis.

You agree to the Job-Seeker Terms and the General Terms & Conditions each time you use the Job-Seeker services.

1. Job-Seeker Services

The Job-Seeker services provided by Shougl include résumé preparation, access to Job Listings, applying for jobs, and profile development.

2. License to Your Content

Please note that, in addition to the license set out in Section 5.5 of the General Terms & Conditions, you expressly agree to our use of Your Content — such as your name, location, employment history, photo, video, audio, and profile — in connection with our Job-Seeker database, which employers can access and use to invite you to apply for jobs, when you create a public profile through Shougl. Please refrain from including any content in your profile that you do not want employers to access. You also expressly agree to our use of Your Content in connection with applying for a job, and to sending your application information and profile to the designated employer when you apply through Shougl.

3. Additional Disclaimer of Warranties

In addition to the disclaimer of warranties and conditions in the General Terms & Conditions:

3.1 No Promise of Employment

In using the Services, Shougl makes no warranties and no promises regarding employment or any specific results. Unless expressly stated otherwise, no advice or information — whether oral or written — obtained from Shougl or through the Shougl Properties constitutes any warranty or guarantee.

3.2 No Advice

Our Website or Application does not provide any employment, career, financial, legal, or other professional advice, and the Services, content, materials, or other information through our Website or Application do not provide any advice. If you have any questions about any of these matters, we encourage you to seek advice from a qualified professional appropriate to your situation.
